The service and your agreements
These terms govern use of the HKAIIFF MARKET website, public catalogue and workspace. The service connects participants and supports project and rights workflows within the HKAIIFF ecosystem. Contact business@hkaiiff.org for service matters. The parties and their legal identities must be stated in each transaction agreement; the festival Association or platform is not automatically the seller, buyer, issuer, agent or guarantor of every listed project.
By using the service, you agree to use it lawfully and within your authority. If you act for an organisation, you must be authorised to do so. A signed transaction agreement governs that transaction’s rights, consideration and delivery obligations. Mandatory legal rights remain unaffected by these website terms.
Accounts and permitted use
Provide accurate account and organisation information. Protect verification codes and credentials, use appropriate team roles and report suspected misuse. Do not impersonate another party, bypass access controls, distribute malware, send spam, fabricate transaction records or interfere with the service. Automated access must respect published access controls and reasonable service limits; public discovery does not permit private-data extraction.
Project submissions and intellectual property
You retain the rights you hold in your submissions. You authorise the platform to store, process and display the submitted public materials as needed to provide the requested service; private materials remain subject to the relevant access controls and workflow. This operational permission is not a transfer of the film’s copyright.
You must have authority for the material you submit and accurately describe contributors, AI use, underlying assets and available rights. Link the formal INDEX record before seeking a market listing. Identify any restriction affecting music, footage, characters, likeness, voice, territory or commercial use. Keep information current and promptly report an inaccurate rights statement.
Offers, rights and contracts
A public project page, enquiry, match, roadshow or expression of interest is not itself a signed licence or investment acceptance. Confirm the authorised parties and specify the work and version, territory, channel, term, language, exclusivity, fees, taxes, delivery and remedies in writing. INDEX provides record references; it does not independently create copyright or replace a rights review. Conflicting grants and duplicate settlement must be prevented before completion.
Fees and settlement
Any platform fee, provider charge, tax allocation and payment schedule must be disclosed in the applicable quotation or agreement before commitment. There is no universal price or promised fee waiver in these terms.
Agree the rights, parties, currency and price before payment. Each order tracks the agreed rights, payment, delivery and acceptance.
Use only the payment method and verified beneficiary specified in the authorised workflow and agreement. A dashboard status is not proof of settlement. Refunds, reversals, provider fees and foreign-exchange differences follow the applicable agreement, provider rules and mandatory law. Do not assume the platform holds funds in escrow unless a specific enabled service and its terms expressly provide this.
Delivery and acceptance
Agree the file package, version, transfer method, delivery deadline, acceptance criteria and correction process before delivery. The recipient must inspect the materials and record acceptance or a documented issue. Access to files does not grant rights beyond the licence. Retain the deal reference and INDEX identity; external registry updates require their own confirmed processing and do not erase earlier records.
Film finance and revenue participation
Investors participate in film revenues under the project agreement. Review eligibility, the contract, use of funds, milestones and risks before signing. Payment is available only after the required approvals.
Use search, filters, translated descriptions and original INDEX records to prepare your review. People confirm rights availability, negotiate terms, approve contracts and authorize payments. Always check the underlying source and signed agreement.
Complaints, restrictions and termination
Report a disputed listing or transaction through workspace Support or business@hkaiiff.org with the relevant identifier and evidence. Visibility or access may be restricted to investigate misuse, protect participants or meet legal obligations. A restriction does not decide ownership and does not automatically cancel existing contracts. Account closure remains subject to necessary contractual records and the privacy notice.
Responsibility and service availability
Participants are responsible for the accuracy of their submissions, their rights authority and their contractual performance. The platform does not guarantee a sale, distribution placement, uninterrupted availability, investment result or the completeness of third-party records. Nothing here excludes liability that cannot lawfully be excluded. Preserve independent copies of essential agreements and evidence.
Disputes and changes
Raise service issues with the market first and identify the requested resolution. A transaction’s signed agreement should state the applicable law, dispute procedure and forum; these website terms do not silently substitute a different commercial dispute mechanism. Mandatory laws continue to apply. Material website-term changes will be published with an updated date and any additional notice required by law; they do not retrospectively change a signed transaction without an agreed basis.
